If you do not agree to these Terms, please do not use our services.

2. Services Description

Nexus Web Development Services provides the following services:

  • Custom Web Development: Building scalable, secure, and high-performing web platforms tailored to your business needs
  • Payment Integration: Integration of secure payment gateways including online banking, e-wallets, and credit card processing (Xendit, PayPal)
  • Digital Booking Solutions: Custom scheduling and booking platforms configured to your specific requirements
  • Financial Services: Automated financial reporting, invoicing, and bookkeeping software solutions
  • HR & Payroll Systems: Automated HR and payroll management systems
  • eCommerce Solutions: Full-featured eCommerce platforms with secure payments, inventory management, and product management

3. Service Agreements and Contracts

All services are provided subject to a separate written agreement or contract that will specify:

  • Project scope, deliverables, and specifications
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Warranty and support terms
  • Other project-specific terms

In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.

4. Payment Terms

4.1 Pricing

All prices for our services are displayed on our website and are subject to change without notice. Final pricing will be confirmed in your service agreement.

4.2 Payment Methods

We accept payments through secure third-party payment processors, including:

  • Xendit (supporting online banking, e-wallets, and credit cards)
  • PayPal

All payments must be made in accordance with the payment schedule specified in your service agreement.

4.3 Refund Policy

Refund policies are specified in individual service agreements. Generally:

  • Deposits are non-refundable once work has commenced
  • Refunds for completed work are evaluated on a case-by-case basis
  • No refunds will be provided for services that have been delivered and accepted by the client

5. Intellectual Property Rights

5.1 Client Content

You retain all rights to your content, materials, and intellectual property that you provide to us for use in your project.

5.2 Deliverables

Upon full payment, ownership of custom-developed deliverables (excluding third-party components and pre-existing code) transfers to you, subject to the terms of your service agreement. We retain the right to use general methodologies, techniques, and knowledge gained during project execution.

5.3 Our Intellectual Property

All pre-existing code, frameworks, templates, and proprietary tools remain our intellectual property and may not be copied, modified, or distributed without our written permission.

6. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for project completion
  • Respond to requests for feedback, approvals, and information within agreed timeframes
  • Ensure you have the legal right to use any content, materials, or intellectual property you provide
  • Comply with all applicable laws and regulations
  • Not use our services for any illegal, fraudulent, or harmful purposes
  • Maintain the confidentiality of any access credentials or sensitive information provided

7. Project Timelines and Delays

We will make reasonable efforts to meet project timelines specified in your service agreement. However:

  • Timelines are estimates and may be affected by factors beyond our control
  • Delays caused by client actions (late feedback, delayed approvals, scope changes) may extend project timelines
  • We are not liable for delays caused by third-party services, hosting providers, or payment processors

8. Revisions and Change Requests

Minor revisions within the project scope are included. Significant changes or additions to the original scope may result in additional charges and timeline adjustments, which will be discussed and agreed upon before implementation.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. Specific warranty terms are outlined in your service agreement.

9.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not responsible for any loss of data, profits, business opportunities, or other damages resulting from the use or inability to use our services

11. Third-Party Services

Our services may integrate with or depend on third-party services, including:

  • Payment processors (Xendit, PayPal)
  • Hosting providers
  • Content management systems
  • Other third-party APIs and services

We are not responsible for the availability, functionality, or terms of service of third-party services. Your use of third-party services is subject to their respective terms of service.

12. Confidentiality

We will maintain the confidentiality of your proprietary information and project details. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to provide our services.

13. Termination

13.1 By You

You may terminate a service agreement in accordance with its terms. Termination may result in charges for work completed and expenses incurred up to the termination date.

13.2 By Us

We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or your service agreement, engage in fraudulent activity, or fail to make required payments.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nexus Web Development Services, its employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or materials you provide to us

15. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

  • We encourage open communication to resolve issues amicably
  • If informal resolution is not possible, disputes will be resolved through binding arbitration in accordance with Philippine law
  • Any legal action must be brought within one (1) year of the date the cause of action arose

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with your service agreement (if applicable), constitute the entire agreement between you and Nexus Web Development Services regarding the subject matter herein.
